Welcome to ZTSI ("ZTSI", "we", "our", or "us"). By accessing our website, engaging our services, or using our products, you agree to be bound by these Terms of Service. Please read them carefully.

1. Acceptance of Terms

By engaging with ZTSI for IT solutions, software development, consulting, or any other services, you signify your acceptance of these Terms. If you do not agree to these terms, please do not use our services.

2. Services Provided

ZTSI specializes in delivering software solutions, mobile app development, web development, and cloud services for industries including Education, Healthcare, Insurance, and Organic Farming. The scope, deliverables, and timeline of any project will be outlined in a separate Statement of Work (SOW) or service agreement.

3. Client Responsibilities

To ensure the timely and successful delivery of our services, clients are expected to:

• Provide accurate, complete, and timely information required for the project.
• Review and approve project deliverables within the agreed-upon timeframe.
• Ensure they have the legal right to any materials, logos, or content provided to ZTSI for use in the project.

4. Intellectual Property

Unless explicitly stated otherwise in the project agreement, upon full payment for the services rendered, ZTSI grants the client ownership of the final developed software or product. However, ZTSI retains the right to reuse general code libraries, templates, and foundational architecture developed during the project for other clients.

5. Payment Terms

Payment terms will be specified in the individual project proposal or invoice. Unless otherwise stated, all invoices are due within 30 days of receipt. ZTSI reserves the right to suspend services for overdue accounts until full payment is received.

6. Confidentiality

Both ZTSI and the client agree to keep confidential all proprietary information, trade secrets, and sensitive business data shared during the course of the engagement. A separate Non-Disclosure Agreement (NDA) may be signed upon request.

7. Warranties and Limitation of Liability

ZTSI strives to deliver high-quality, bug-free solutions. We provide a standard 30-day warranty period post-launch for bug fixes related to the original scope. However, ZTSI shall not be held liable for any indirect, incidental, or consequential damages arising from the use of our software, third-party API changes, server downtimes, or security breaches out of our direct control.

8. Termination

Either party may terminate the engagement with a 30-day written notice. Upon termination, the client shall pay for all work completed up to the date of termination.

9. Governing Law

These terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of these terms will be subject to the exclusive jurisdiction of the courts in India.
